The short version. Trading Intel is a research and information tool.
It republishes public government filings and shows analysis derived from them.
It is not investment advice, we are not your
broker or financial adviser, the data may be delayed or wrong, and every
investment decision you make is yours alone. Nothing here is a recommendation
to buy or sell any security.
These Terms of Service ("Terms") are a binding agreement between you and
Bridge Innovations LLC, a New Hampshire limited liability company
("Bridge Innovations", "we", "us"), governing your use of the Trading Intel
website, data, API and related services (the "Service").
By creating an account, accessing the Service, or purchasing a subscription,
you agree to these Terms. If you do not agree, do not use the Service.
1. What the Service is — and is not
The Service aggregates publicly available information — including filings from
the U.S. Securities and Exchange Commission (EDGAR), the U.S. House of
Representatives Clerk, the U.S. Senate Office of Public Records, FINRA,
USAspending.gov, the U.S. Office of Government Ethics, and publicly accessible
market and sentiment data — and presents it alongside analysis we compute from
that information.
The Service is provided for informational and research purposes only. Specifically:
We are not a registered investment adviser, broker-dealer,
financial planner, or fiduciary, and we do not act in any such capacity.
Nothing on the Service is investment, financial, legal, tax or
accounting advice, an offer or solicitation to buy or sell any
security, or a recommendation regarding any security or strategy.
Bridge Innovations LLC is neither a law firm nor a certified public
accounting firm, and provides no legal, tax or accounting services.
For advice about your specific situation, consult a licensed professional.
Nothing on the Service is personalized or tailored to your
circumstances, objectives, risk tolerance or financial situation. Identical
information is made available to all users of the same tier.
Features described as "scores", "signals", "ideas", "conviction",
"strategies" or similar are descriptive labels for computed
output, not recommendations, endorsements, or predictions.
You are solely responsible for your own investment decisions, and you should
consult a licensed financial adviser before acting on anything you see here.
2. Data accuracy — important limitations
The Service depends on third-party and government sources that we do not
control. You acknowledge and accept that:
Data may be inaccurate, incomplete, delayed, interrupted, or
erroneous, including because a source published it that way. We
reproduce source records including any errors they contain.
Disclosure data is inherently lagged by law — congressional
periodic transaction reports may be filed up to 45 days after a trade,
SEC Form 4 filings within about 2 business days, and Form 13F holdings up
to 45 days after quarter end. Information may be stale by the time it is
lawfully published.
Company names, tickers, prices, categorizations and derived figures may be
mis-resolved or wrong, and computed analytics may contain
defects.
Prices and market data are provided on a delayed and best-efforts basis and
are not suitable for trading execution.
You should independently verify any information against the
original source filing before relying on it. Where available, we
link to the underlying source document for this purpose.
3. Hypothetical and backtested performance
The Service displays hypothetical, backtested and simulated performance
(including returns, CAGR, Sharpe ratio, drawdown and similar metrics).
Hypothetical performance is not actual performance. No
money was invested, and no user achieved these results.
Backtests are prepared with the benefit of hindsight, and do not
account for trading costs, commissions, fees, taxes, slippage,
liquidity constraints, market impact, or the real-world delay between a
trade occurring and its disclosure becoming public.
Backtests are computed from the data history we happen to hold, which may
be shallow, incomplete, or affected by defects in our own code.
Past performance — actual or hypothetical — does not guarantee or
indicate future results. Any investment may lose value, including
total loss of principal.
4. Your account
You must be at least 18 and legally capable of entering this agreement.
You are responsible for activity under your account and for keeping your
credentials and API keys secure.
Provide accurate information and keep it current.
One account per person; do not share access or resell your seat.
5. Subscriptions, billing and cancellation
Paid tiers are billed in advance on a recurring basis through our payment
processor, Stripe. We do not receive or store your card details.
Subscriptions renew automatically for successive periods
until cancelled. You authorize recurring charges until you cancel.
You may cancel at any time; access continues until the end of the paid
period and is not pro-rated.
Fees are non-refundable except where required by law or at
our sole discretion.
We may change pricing prospectively with notice; changes do not affect the
period you have already paid for.
Free or beta access may be modified, limited, or withdrawn at any time.
6. Acceptable use
You may not:
Scrape, crawl, bulk-download, mirror, resell, sublicense or redistribute the
Service's data or output, except as expressly permitted by a paid API tier
and its limits;
Circumvent access controls, tier gating, rate limits, or authentication;
Share, publish or transfer API keys or account credentials;
Use the Service to build or train a competing product or dataset;
Present the Service's output as your own, or as investment advice to others,
without independently satisfying your own regulatory obligations;
Use the Service unlawfully or to violate securities laws.
We may suspend or terminate access for violations, without refund.
7. Intellectual property and licence
The underlying government records are public domain. Our compilation,
selection, arrangement, scoring methodology, analytics, code, and presentation
are owned by Bridge Innovations LLC and protected by applicable law.
Except where you hold a paid API tier that expressly permits otherwise, the
Service and its data are licensed to you for your own personal,
non-commercial use only. This licence is limited, revocable,
non-exclusive and non-transferable, and is subject to these Terms. Any
commercial use — including redistributing, reselling, sublicensing, or
incorporating the data or output into a product or service offered to others —
requires a separate written or paid licence from us.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT
WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY
LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY AS TO THE
ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY OR AVAILABILITY OF THE SERVICE OR
ITS DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE,
OR THAT DEFECTS WILL BE CORRECTED.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
BRIDGE INNOVATIONS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES AND AGENTS SHALL
NOT BE LIABLE FOR ANY TRADING OR INVESTMENT LOSSES, LOST
PROFITS, LOST OPPORTUNITY, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, ARISING FROM OR
RELATING TO THE SERVICE OR ITS DATA, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL
NOT EXCEED THE GREATER OF (A) THE FEES YOU ACTUALLY PAID US IN THE
TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR
(B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain exclusions; in those cases the
exclusions apply to the fullest extent permitted, and nothing in these Terms
limits liability for fraud, or for any liability that cannot lawfully be
limited.
10. Indemnification
You agree to indemnify and hold harmless Bridge Innovations LLC and its
members, officers, employees and agents from any claim, loss, liability, damage,
cost or expense (including reasonable legal fees) arising from your use of the
Service, your investment or trading decisions, your violation of these Terms, or
your violation of any law or third-party right.
11. Third-party services
The Service relies on third parties including Supabase (database and
authentication), Cloudflare (hosting), Stripe (payments), and public data
providers. We are not responsible for their acts, omissions, availability or
content. Links to third-party sites are provided for convenience and are not
endorsements.
12. Changes to the Service and these Terms
We may modify, suspend or discontinue any part of the Service at any time. We
may update these Terms; material changes will be notified by updating the "Last
updated" date and, where appropriate, by notice in the Service or by email.
Continued use after changes take effect constitutes acceptance.
13. Termination
You may stop using the Service and delete your account at any time. We may
suspend or terminate your access for breach of these Terms, suspected unlawful
use, or non-payment. Sections that by their nature should survive termination —
including Sections 2, 3, and 7 through 16 — survive.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of New
Hampshire, without regard to its conflict-of-laws rules.
Please read this paragraph carefully — it affects your legal
rights. Any dispute arising out of or relating to these Terms or the
Service shall be resolved by binding individual arbitration
administered by the American Arbitration Association under its Consumer
Arbitration Rules, seated in New Hampshire (or conducted remotely). You and we
each waive the right to a jury trial and the right to participate in a
class, collective or representative action. Either party may
bring an individual claim in small-claims court instead. If the class-action
waiver is found unenforceable, the arbitration agreement shall be void as to that
claim and it shall proceed in the state or federal courts located in New
Hampshire.
15. Time limit for claims
To the maximum extent permitted by law, any claim or cause of action
arising out of or relating to these Terms or the Service must be commenced within
one (1) year after the claim or cause of action accrues. After that
period it is permanently barred. Where applicable law does not permit a one-year
limit, the shortest period the law does permit applies instead.
16. General
These Terms, together with our Privacy Policy, are
the entire agreement between you and us regarding the Service. If any provision
is unenforceable, the rest remains in effect. Our failure to enforce a provision
is not a waiver. You may not assign these Terms; we may assign them to a
successor. Nothing in these Terms creates a partnership, agency, or fiduciary
relationship.
